END-USER LICENSE AGREEMENT
This End-User License Agreement (“Agreement” or “EULA”) is a legally binding agreement between Oceanside Websites, a division of CDJ Enterprize Ltd. (“Oceanside Websites”, “we”, “our”, or “us”) and the individual or legal entity (“Customer”, “User”, “you”, or “your”) that accesses or uses the Oceanside Websites Client Portal, related software, applications, APIs, services, and associated documentation (collectively referred to as the “Portal”).
By creating an account, accessing, installing, or using the Portal, you acknowledge that you have read, understood, and agree to be bound by this Agreement.
If you do not agree to these terms, you must immediately discontinue use of the Portal.
Definitions
For the purposes of this Agreement:
Portal
means the Oceanside Websites Client Portal, including all software, databases, interfaces, APIs, dashboards, file storage, messaging systems, approval workflows, and future updates.
Services
means any service offered through the Portal including but not limited to:
Website Management
Hosting Management
Domain Management
Billing
Invoicing
Support Ticket System
Proof Approval System
Client Messaging
File Uploads
Analytics
Website Monitoring
Maintenance Requests
Project Management
SEO Reporting
User Management
Integrations
Authorized User
means an individual granted access by the Customer.
License Grant
Subject to compliance with this Agreement, Oceanside Websites grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to use the Portal solely for your own internal business purposes.
This license does not transfer ownership of the Portal.
All ownership rights remain exclusively with Oceanside Websites.
Ownership
The Portal is licensed—not sold.
All intellectual property rights including but not limited to:
Source Code
Databases
Design
Branding
User Interface
APIs
Documentation
Features
Workflows
Reports
Custom Software
Plugins
Integrations
remain the exclusive property of Oceanside Websites and CDJ Enterprize Ltd.
Nothing contained within this Agreement grants ownership of any software.
Account Responsibilities
You agree to:
Maintain accurate account information.
Keep passwords confidential.
Use strong passwords.
Notify us immediately of unauthorized access.
Ensure all Authorized Users comply with this Agreement.
Accept responsibility for all activity under your account.
You are responsible for all actions performed through your account.
Acceptable Use
You agree that you will NOT:
Reverse engineer the software.
Decompile any code.
Copy the Portal.
Sell access.
Rent access.
Lease access.
Share accounts.
Circumvent security.
Upload malware.
Attempt unauthorized access.
Use automated scraping software.
Conduct penetration testing without written permission.
Attempt denial-of-service attacks.
Upload illegal material.
Upload copyrighted material without permission.
Upload viruses.
Distribute spam.
Abuse support staff.
Attempt to bypass subscription restrictions.
Intellectual Property

Trade Dress
Software
Graphics
Documentation
Workflows
User Interface
Branding
Code Libraries
APIs
Custom Integrations
AI Workflows
Automation Systems
No ownership rights are transferred.
Customer Content
You retain ownership of:
Documents
Images
Logos
Branding
Website Content
Uploaded Files
Text
Videos
Marketing Materials
You grant Oceanside Websites a limited license to:
Store
Process
Display
Backup
Modify (where requested)
Deliver
your content solely for the purpose of providing Services.
Proof Approval System
The Portal may contain a proof approval workflow.
When you approve a proof:
The approval becomes part of the project record.
Your approval serves as authorization to proceed.
Work completed based upon approved proofs may be billable.
Changes requested after approval may incur additional charges.
The Portal records:
Approval date
Time
User
IP Address (where available)
Browser information
Electronic signature
Revision number
These records may be used to resolve disputes.
Electronic Signatures
Where electronic signatures are collected, you agree they carry the same legal effect as handwritten signatures, subject to applicable law.
You certify that you are authorized to approve work on behalf of your organization.
File Uploads
You represent that you have all necessary rights to upload any files.
You agree not to upload:
Malware
Viruses
Illegal content
Copyrighted content without permission
Offensive material
Obscene material
Fraudulent documents
We reserve the right to remove prohibited content.
Storage Limits
Depending on your plan, storage limits may apply.
Oceanside Websites may establish limits for:
Storage capacity
Maximum upload size
Number of files
Archived data
Retention periods
Additional storage may be available for an additional fee.
Data Backups
We perform routine backups where reasonably practicable.
However:
Backups are not guaranteed.
No backup system is infallible.
Customers remain responsible for maintaining copies of important files.
Availability
We strive to maintain high availability but do not guarantee uninterrupted service.
The Portal may become unavailable due to:
Maintenance
Software updates
Hardware failures
Third-party outages
Internet disruptions
Cybersecurity incidents
Force majeure events
Software Updates
We may:
Add features
Remove features
Modify workflows
Improve security
Patch vulnerabilities
Update integrations
Updates may occur automatically.
Continued use constitutes acceptance of updated software.
Third-Party Services
The Portal may integrate with third-party providers including:
Google
Microsoft
Cloudflare
Stripe
OpenAI
WordPress
WooCommerce
Analytics Providers
Domain Registrars
Hosting Providers
We are not responsible for third-party outages, policies, pricing changes, or service interruptions.
AI Features
Some Portal features may use artificial intelligence.
AI-generated content may include:
Website copy
Product descriptions
SEO suggestions
Code generation
Marketing content
Image generation
Recommendations
You are responsible for reviewing all AI-generated content before publication or use.
Oceanside Websites does not warrant that AI-generated output is accurate, complete, error-free, or suitable for any particular purpose.
Security
We employ commercially reasonable security measures including:
Encryption
Secure authentication
Firewall protection
Access controls
Activity logging
Monitoring
No internet-connected service is completely secure.
You acknowledge this risk.
Suspension of Service
We may suspend or restrict access if:
Payment is overdue.
This Agreement is violated.
Illegal activity is suspected.
Security is compromised.
Fraud is detected.
Excessive system abuse occurs.
Termination
This Agreement remains in effect until terminated.
Either party may terminate access according to the applicable service agreement.
Upon termination:
Access may be revoked.
Licenses end immediately.
Data may be retained for a limited period in accordance with our retention policies before permanent deletion, unless otherwise required by law or agreed in writing.
Disclaimer of Warranties
The Portal is provided “AS IS” and “AS AVAILABLE.”
To the maximum extent permitted by law, Oceanside Websites disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of:
Merchantability
Fitness for a particular purpose
Non-infringement
Accuracy
Reliability
Availability
We do not warrant that the Portal will be uninterrupted, error-free, or free from harmful components.
Limitation of Liability
To the fullest extent permitted by law, Oceanside Websites, CDJ Enterprize Ltd., and their directors, officers, employees, contractors, affiliates, and agents shall not be liable for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, revenue, business opportunities, goodwill, or data, arising from or related to the use of the Portal.
Our total cumulative liability arising out of or relating to this Agreement shall not exceed the total amount paid by you for access to the Portal during the twelve (12) months immediately preceding the event giving rise to the claim.
Some jurisdictions do not allow certain limitations of liability, so portions of this section may not apply to you.
Indemnification
You agree to indemnify, defend, and hold harmless Oceanside Websites, CDJ Enterprize Ltd., and their directors, officers, employees, contractors, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable legal fees) arising from:
Your use of the Portal;
Your breach of this Agreement;
Your uploaded content;
Your infringement of any third-party rights; or
Your violation of applicable laws or regulations.
Export Compliance
You agree to comply with all applicable export control and sanctions laws relating to your use of the Portal and will not use or make the Portal available in any manner prohibited by those laws.
Governing Law
This Agreement shall be governed by and construed in accordance with the laws of the Province of British Columbia and the federal laws of Canada applicable therein.
Any disputes arising under this Agreement shall be subject to the exclusive jurisdiction of the courts located in British Columbia, unless otherwise required by applicable law.
Severability
If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
Entire Agreement
This Agreement, together with any applicable Terms of Service, Privacy Policy, Acceptable Use Policy, Service Level Agreement, Hosting Terms, and any executed service agreements or statements of work, constitutes the entire agreement between the parties regarding the Portal and supersedes all prior discussions, representations, or agreements on the subject matter.
Changes to this Agreement
We may modify this Agreement from time to time.
Material changes will become effective upon posting the revised Agreement within the Portal or on our website, or by providing other reasonable notice where appropriate.
Your continued use of the Portal after the effective date of the revised Agreement constitutes acceptance of the updated terms.

Acceptance
By accessing, registering for, or using the Oceanside Websites Client Portal, you acknowledge that you have read, understood, and agree to be bound by this End-User License Agreement. If you are accepting this Agreement on behalf of a company or other legal entity, you represent and warrant that you have the authority to bind that entity to these terms.
